Terms of Service

1. Who we are

LAPIDAR ("LAPIDAR", "we", "us") is operated by Alan Balcerowiak, a natural person running an unregistered business activity (działalność nierejestrowana) under Polish law, ul. Bajeczna 49/2, 32-020 Wieliczka, Poland. Contact: contact@getlapidar.com.

2. Who these terms are for, and how you accept them

LAPIDAR is a business-to-business service for insurance agencies. By creating an account or subscribing, you confirm that you act on behalf of a business (the "Customer"), not as a consumer, and that you have authority to bind that business to these Terms.

By creating an account or completing checkout, you agree to these Terms, including the Data Processing Addendum, which forms part of them. The same applies if you use the service in any other way.

3. The service

LAPIDAR is a fully automated online service. It compares carrier commission statements with the agency's own book exports and flags lines that look missing, underpaid or duplicated. The results are a starting point for your own review. They are not accounting, legal or tax advice, and we do not contact carriers on your behalf.

The service is currently offered as a pilot. Features may change, be added or be removed, and the service may have errors or downtime.

4. Founding agency plan

  • Price: USD 99 per month plus any applicable sales tax or VAT, which is calculated and shown at checkout. Billed monthly in advance. The plan is open to the first 7 founding agencies, and you can cancel at any time.
  • Price lock: the price before tax stays the same for 12 months from your first paid month, as long as the subscription stays active.
  • Money-back guarantee: if LAPIDAR does not identify a discrepancy within your first 30 days, we refund your first month's payment on request. A "discrepancy" means a missing, underpaid or duplicated commission of at least USD 1, identified by the service by comparing your own book with your own carrier statements. Lines reported as "not in your book" or as chargebacks do not count as discrepancies for this guarantee. The guarantee applies once per agency, including any later or related account of the same agency.
  • Account: you can create an account at app.getlapidar.com with your work email and a password (we email you a link to confirm the address) or with Google. Creating an account is free and does not start a subscription. You subscribe from inside your account; when checkout completes, the pilot is active immediately. If you already paid through an earlier checkout link, you set your password on the page you are sent to after payment.
  • Founding seats: the pilot is limited to 7 paying agencies. When all seats are taken, you can keep your account but cannot subscribe until a seat opens.

5. Payments through Link (Stripe) as merchant of record

Payments are handled through Stripe's Managed Payments service. When you subscribe, you buy the subscription from Link, a Stripe company, which acts as reseller and merchant of record for the transaction. In practice:

  • you pay Link, and your card or bank statement shows a descriptor such as "LINK.COM* LAPIDAR";
  • receipts and invoices are issued by Link and sent to the email address you use at checkout;
  • Link calculates, collects and remits applicable sales tax and VAT;
  • Link handles payment fraud screening, chargebacks and payment disputes, and may issue refunds within 60 days of a payment under its own policies;
  • your purchase is also subject to Link's and Stripe's own terms and privacy notices, which you see at checkout.

Alan Balcerowiak remains the provider of the LAPIDAR service, is responsible for the service itself and for support (contact@getlapidar.com), and processes your Customer Data as a processor under the Data Processing Addendum. Link and Stripe do not receive the files you upload.

6. Cancellation and refunds

You can cancel at any time from "Manage billing" in your account, which opens the Stripe customer portal, from your order page at link.com, or by emailing us. Cancellation takes effect at the end of the current billing period; you keep access until then.

Refunds under the money-back guarantee in section 4 are processed through Stripe and Link to the original payment method; the refund includes any tax charged on that payment. Apart from that guarantee, refunds that Link issues under section 5, and cases where the law requires otherwise, payments already made are not refunded.

A full refund of a payment, whoever issues it, ends your access straight away and cancels the subscription, so nothing renews; your data is then kept for 30 days as described in section 7. If you dispute a payment with your bank or card issuer, we may suspend access until the dispute is resolved.

We may end the pilot or your subscription with at least 30 days' notice by email. If we do, we refund any prepaid amount for the period after the end date.

7. Your data

  • You keep all rights to the files and data you upload ("Customer Data").
  • You warrant that you have the right to upload and share Customer Data with us, including any personal information about policyholders, and that doing so complies with your agreements with carriers and clients and with the laws that apply to you.
  • We process Customer Data only to provide the service, as described in our Data Processing Addendum and Privacy Policy.
  • You can delete your account, and with it your Customer Data, at any time.
  • When your subscription ends, uploads and new checks stop, but your account data is kept for 30 days so you can sign in and export your findings. After 30 days it is deleted, unless you delete it sooner yourself. If you create an account but never subscribe, we delete it 30 days after you created it or last signed in, whichever is later. If you want us to send you an export, ask within those 30 days. Deleted data can remain in our server backups for up to 15 days, until those backups are overwritten.

8. Acceptable use

You agree not to:

  • upload data you are not allowed to share, or content that is unlawful;
  • try to access other customers' data or bypass security or usage limits;
  • probe, scan or load-test the service without our written permission;
  • reverse engineer the service, except where the law allows it;
  • resell or provide the service to third parties without our agreement;
  • share your login with people outside your agency.

We may suspend access if we reasonably believe these rules are broken, and will tell you why unless the law prevents it.

9. Account security

You are responsible for keeping your password secure and for activity under your account. Tell us promptly at contact@getlapidar.com if you suspect unauthorized access.

10. Pilot service provided "as is"

During the pilot the service is provided "as is" and "as available". To the extent the law allows, we make no warranties, express or implied, including fitness for a particular purpose, merchantability or that the service will find every discrepancy or be error-free. You remain responsible for checking results before acting on them.

11. Limitation of liability

To the extent the law allows:

  • neither party is liable for indirect or consequential losses, lost profits, lost revenue or lost data;
  • our total liability arising out of these Terms in any 12-month period is limited to the fees you paid for the service in that period.

Nothing in these Terms limits liability that cannot be limited by law, including liability for damage caused intentionally.

12. Changes to these Terms

We may update these Terms. We will email you about material changes at least 30 days before they take effect. If you do not agree, you may cancel before the change takes effect.

13. Governing law and disputes

These Terms are governed by the laws of Poland. Disputes go to the common courts competent for the seller's place of residence in Poland. The UN Convention on Contracts for the International Sale of Goods does not apply.
