Agency perpetuation plan

An agency perpetuation plan is the written plan for how ownership and control of an insurance agency pass to new owners, such as family, partners, employees or an outside buyer, and how the outgoing owner is paid, worked out years before the owner leaves.

What it means

IA Magazine’s Top 3 Pathways for IA Perpetuation quotes Tim Cunningham of OPTIS Partners on owners who point to a buy/sell agreement: “That’s not a perpetuation plan. A perpetuation and succession plan is a long-term process, not an event.” The article lists the common routes as family members taking over, other principals buying the owner’s interest, and internal ownership plans.

What it means for commission: the agency’s value rests on its book of business and the renewal commission it produces, so a plan stands on clean commission records. Buyers and successors ask whether renewals are actually being paid, whether the agency agreements and appointments survive a change of ownership (many require notice), and whether producer splits and ownership of books are written down.

How it shows on a commission statement

Statements are the evidence in a perpetuation deal: they show which carriers pay what, how stable renewals are and how large chargebacks run. Gaps between statements and the book lower the value a buyer will accept.

In reconciliation, and what Lapidar does

Lapidar does not value agencies. It checks statements against the book, carrier by carrier, and keeps a history of findings across statements, which gives a successor or buyer a record of what was paid, what was missing and what was raised.

Common mistakes to check

  • Treating a buy-sell agreement as the whole plan.
  • Starting too late to train a successor or arrange financing.
  • Not checking which agency agreements require carrier consent or notice for a change of ownership.
  • Valuing the agency on booked renewals rather than renewals actually paid.

Questions

What is the difference between perpetuation and succession planning?

The terms overlap. Perpetuation is usually about ownership and value passing on; succession is about who runs the agency and serves clients.

What are the common perpetuation routes for independent agencies?

IA Magazine’s article lists family members taking over, other principals buying the owner’s interest, and internal ownership plans; an outside sale is the alternative.

How long does a perpetuation plan take?

Years rather than months. The adviser quoted by IA Magazine calls it a long-term process, not an event.
